I. GENERAL
Please read in detail the terms and conditions described below (hereinafter referred to as the "General Terms and Conditions") intended for the regulation of the relationship between "The Edge: Research and Business Development " LTD (hereinafter referred to as the "Organizer") and the Participants and Candidates for participants in the Beyond Pre-Accelerator Program (hereinafter referred to as the Program).
These Terms and Conditions describe the rules for implementing the Beyond Pre-Accelerator Program. By ticking the box, "I agree with the General Terms and Conditions for participation in the Beyond pre-accelerator", candidates agree and undertake to comply with these General Terms and Conditions for participation in the Beyond pre-accelerator program.
II. DEFINITIONS
In interpreting and applying these General Terms and Conditions, the terms and expressions used have the following meanings:
The program pre-accelerator Beyond has the meaning and scope of the Program described in art. 3.1. of these General Terms and Conditions;
Organizer is: "The Edge: Research and Business Development" LTD., UIC 204891692, headquarters and address of management: Sofia, P.O. Box 1000, Oborishte District, 54 Knyaz Alexander Dondukov Blvd., represented by the manager Malvina Ilieva;

Alumni of Junior Achievements/ JA are young people (18+) who have already gone through one of the training programs / events / initiatives of JA Bulgaria;
Candidates for participants – individuals who have applied for participation through the Platform of the Beyond Pre-Accelerator Program;
Participants – candidates for participants who have been approved for participation in the Program and have received a confirmation email;
The Platform of the Program pre-accelerator Beyond (the Platform) – a platform created for the needs of the Program, available at the following address: https://beyondaccelerate.com/index.html ;
Lecturer – a natural person who leads the training or part of the training of the participants in the Program.
Mentor – a natural person, an established expert in a relevant professional or practical field, who advises and assists participants in accordance with the terms of the Program.
III. DESCRIPTION OF THE PROGRAMME
3.1. The program pre-accelerator Beyond is organized by the Organizer theoretical and practical program aimed at the creation and development of technological, lean startups in three main thematic areas: (i) digital innovations in medicine and healthcare; (ii) smart cities and societies; and (iii) creative industries, all three of which focus on creating sustainable business models that support the circular economy. The Program applies the open innovation model, creating multidisciplinary teams of people with different backgrounds and competencies to create working prototypes or minimal viable products (MVP) of ideas.
3.2. The Program is held from November 2023 to June 2024. The Programme is divided into three phases, and these General Terms and Conditions govern the conditions for conducting the first phase of the Programme and provide general information on the remaining two phases of the Programme.
3.3. The Organizer carries out the overall organization of the Program in accordance with these General Terms and Conditions and the additional written agreements concluded with the Participants. The Organizer is not responsible and does not assume any guarantees for the participation of the Participants in the Program and / or in any phase of the Program, as well as for the results achieved by the Participants.
3.4. Program participants declare that by joining the Program, they are committed to actively participating, devoting the necessary time and personal resources according to the terms of the Program. Participants agree that their participation in the Program and/or any phase of the Program and the results achieved by their participation are not guaranteed, are subject to their fulfilment of the Program conditions and are subject to further evaluation by the Organizer and/or specified a third party according to criteria determined by the Organizer.
IV. APPLICATION
The Program is open for application through the Platform.
Applicants for participation in the Program send their applications by filling in their name, email address, and contact phone number in the contact form in the Platform. Subsequently, they were redirected to the Jotform platform to complete their profiles, to which they attached their video presentation and resume.
The application deadline through the Platform is October 24, 2023, 23:59. Applications submitted after this date will not be considered.
Conditions to be met by candidates:
JA alumni (18+), young professionals in one or more of the fields referred to in point 3.1 or experts working on scientific work;
Age 18+
Good level of English language proficiency
Interest in development in entrepreneurship and desire to create your own business.
The Organizer evaluates Participants on the details provided in their Jotform Platform profiles. Participants who have not filled in the necessary details will be invited to do so. After reviewing the information provided, the Organizer contacts the participants who will be admitted to participate in the Program.
Approved candidates will receive an email to the provided email address when filling in the application for participation in the Program.
Approved candidates should use the Platform as a tool for communication and tracking the development of the Program by following the instructions provided by the Organizer.
V. FIRST PHASE
The Program's first phase is an educational stage, including approximately 5 sessions / lectures lasting 2-3 hours, conducted online and / or in person, and covering the period from November to December 2023.
This stage aims to introduce the participants to the basics of entrepreneurship and entrepreneurial thinking, present the main tools and approaches for creating a business, and unite the participants in teams according to their ideas and interests.
Within the framework of the First Phase, the Organizer organizes and conducts interactive educational sessions in the form of lectures and practical classes, led by lecturers on a pre-prepared program.
The Organizer reserves the right to change the time period and Program of the First Phase, as well as the time periods of the subsequent phases of the Program.
For their participation in the First Phase of the Program, Participants owe the Organizer a fee of BGN 500 or less (decided on a case-by-case basis). Participants should attend all sessions/lectures from the first phase of the Program through the Platform, as well as submit the assignments required by the lecturers/trainers in the Program on time.
Suppose a Participant has attended less than 70 percent of the sessions/lectures and/or has completed less than 70 percent of the assignments from the First Phase. In that case, the Organizer may, at its discretion, terminate such Participant's participation in the remaining part of the Program.
The Organizer selects the initial business ideas and teams of Participants who will continue their participation in the Second Phase of the Program until December 20, 2024.
VI. SECOND PHASE
The program's second phase is a practical stage involving the development and testing of the Teams' initial business ideas, the development of a working prototype or minimum viable product (MVP) of the ideas, and collaboration between teams and their mentors. It is held from January 2024 to May 2024 through online and/or attendance meetings.
At the beginning of the Second Phase and no later than January 31, 2024, the Participants go through a Match-Making session to team up with a Mentor whose skills to further develop the team and the idea on which it operates.
Within the Second Phase, the Participant Teams interact with the Organizer and present one or several mentors. A list of participating mentors and their areas of expertise will be provided additionally to the Participants in this phase by the Organizer.
Participants selected to continue in the second phase should declare their participation in this phase of the Program by January 5th, 2024.
The goal of this stage is the development of a working prototype or minimum viable product (MVP) of the team's business ideas.
At the end of the phase, teams will receive a Term Sheet with funding terms from Beyond pre-accelerator in phase three.
VII. THIRD PHASE
The third phase of the Program includes the final presentation of the developed prototypes or minimum viable products (MVP) of the business ideas to the Organizer and/or a jury appointed by him.
Participants selected to continue in phase three should declare their participation in this phase of the program by April 22, 2024.
The purpose of this stage is the final presentation of the developed prototypes or minimum viable products (MVP) of business ideas within Demo Day (by May 30, 2024), organized by the Organizer, as well as at the discretion of the Organizer of one or more subsequent events organized by the Organizer and / or a third party designated by him.
The final stage of the Program is a presentation to investors. After selecting a finalist in the Program, the Organizer has the right to receive a 1-3% equity from the winning company in exchange for the investment of BGN 10,000, as well as 5% in cash from the amount fundraised from a VC because of the team’s participating in the Program. Separate agreements will regulate the specific conditions.
VIII. COMPLETION OF THE PROGRAMME
8.1. All Participants and Teams who have successfully completed the Program receive a certificate of participation issued by the Organizer. At the discretion of the Organizer, the Participants and the Teams that have successfully completed the Program or part of them may be provided with the opportunity to participate in subsequent national, European and/or international events to present the developed prototypes or minimum viable products (MVP) of their business ideas.
IX. INTELLECTUAL PROPERTY
9.1. All elements of the Program, its content, the content of the Platform, including the logo of the Program, representing a trademark owned by the Organizer, know-how, the adapted methodology and overall model of the Program, criteria for the development of a prototype / minimum viable product, final evaluation criteria, recordings of lectures, texts, training, presentations, graphics, sketches, photos, design, video, software programs, trade secrets, etc., constitute an object of copyright and/or related right within the meaning of the Copyright and Related Rights and Intellectual Property Act and are owned by the Organizer and/or its partners who have provided the relevant materials for publication. The Participants are not entitled to disclose them to third parties or to use them in any way.
9.2. If a Participant violates in any way the rights of the Organizer under this section, he owes compensation for all damages and lost profits of the Organizer.
X. CONFIDENTIALITY
10.1. "Confidential information" means any information available on paper, electronic or other media provided by the Organizer and / or its partners under this Agreement to the Participants in the Program, containing information about the Organizer and / or its partners or information contained in an email sent by the Organizer and / or its partners to the Participants in connection with the Program; any other information provided by the Organizer and / or his partners under this contract during or on the occasion of the participation of the program; the Organizer's know-how and/or his; information on intellectual property rights of the Organizer and/or its partners; marketing information concerning in any form the Organizer and / or its partners. Any information that falls into the above categories and is provided to Participants concerning their participation in the Program is also confidential.
10.2. The Participant undertakes:
To keep confidential the confidential information and / or materials provided to it by the Organizer and / or its partners;
Not to develop and / or use in any way the confidential information provided to him, except for the performance of the services under the Program;
Not to benefit in any way from the possession and/or access to confidential information and not to derive any rights and/or legitimate interests;
Without violating its obligations under these General Terms and Conditions, to return or destroy immediately upon the request of the Organizer and / or its partners all documents containing confidential information or any part thereof, including all related copies, photos, drawings, sketches, for which documents upon their transmission by the Organizer and / or its partners is explicitly mentioned, that they are returnable;
Not to grant access to or disclose, both directly and through related parties, within the meaning of paragraph 1 para. 1 of the Commerce Act, as well as to the media to disclose to third parties or other entities that are not a party to this Agreement the confidential information provided to it without the prior written permission of the Organizer;
Upon termination of the relationship between the Parties, immediately return all originals and copies of the confidential information in its possession and ensure the immediate destruction of all other copies of the confidential information and all documents containing parts thereof unless otherwise agreed between the Parties.
If a Participant violates in any way its obligations under art. 9.2, it owes compensation for all damages and lost profits of the Organizer.
Participants are obliged to comply with the obligation of confidentiality even after termination of their participation in the Program.
XI. PROTECTION OF PERSONAL DATA
11.1. The processing of personal data provided by the Candidates for participants and the Participants in the Program and/or when using the Platform, conducting the interviews and participating in the Program is carried out in accordance with the Organizer's Privacy Policy (available here).
11.2. On the Program's Website, cookie technology is used. More information is available in the Cookie Policy (available here).
XII. CHANGES TO THE GENERAL TERMS AND CONDITIONS
12.1. The Organizer may periodically change the General Terms and Conditions, which will appropriately notify the Participants - by posting a message in a visible and publicly accessible place on the Program Website and / or by email.
XIII. CHANGES AND MAINTENANCE OF THE PLATFORM
13.1. By accepting these General Terms and Conditions, the Participants agree that the Organizer has the right at any time to change the form and content of the Platform, as well as to temporarily suspend its functioning in order to renew the content or improve the functionality of the Platform, as well as for other technical reasons, for which it will publish a notification on the home page of the Platform.
XIV. TERMINATION
14.1. The effect of these General Terms and Conditions shall be terminated in the following cases:
In case of refusal of participation by the Participant, sent by email.
By mutual consent of the Parties in writing;
In case of objective inability of any of the Parties to perform its obligations;
In the presence of the cases specified in these General Terms and Conditions;
At the end of the First Phase of the Program.
The provisions of Articles 9.1, 9.2, 10.1, 10.2, 10.3 and 10.4 of these General Terms and Conditions shall continue in force after the termination of the relationship between the Organizer and the Participants.
XV. RESPONSIBILITIES
15.1. The Organizer shall not be liable in case of force majeure, fortuitous events, problems on the Internet, technical or other objective reasons, including orders of the competent state authorities that impede the fulfilment of its obligations under these General Terms and Conditions. The Organizer is not responsible for the time during which the Platform was unavailable due to force majeure. Force majeure is considered fire, flood, extraordinary circumstances, war, blockade, earthquake and any other manifestations, actions and / or events whose prevention, occurrence, suspension, management and frustration is beyond the control of the Organizer. Actions or acts of competent state authorities limiting the powers or functions of the Organizer are also considered force majeure.
15.2. The Organizer is not responsible for damages caused by the Candidates for participants and the Participants to third parties.
XVI. JURISDICTION
16.1. The General Terms and Conditions are subject to and must be interpreted in accordance with the legislation of the Republic of Bulgaria. The possible invalidity of any provision of these General Terms and Conditions will not invalidate all Terms and Conditions.
16.2. All disputes relating to the General Terms and Conditions, Program and the related Platform, including disputes related to or relating to interpretation, invalidity, performance or termination, including disputes about filling gaps in these General Terms and Conditions, will be resolved through well-intentioned negotiations and mediation. If no agreement is reached, each party has the right to refer the dispute to the competent Bulgarian court.
16.3. At the initiative of the Organizer or Participant having the status of "consumer" within the meaning of the Consumer Protection Act, any dispute arising between them in connection with the contract concluded between them may be referred to the conciliation commissions of the Commission for Consumer Protection with address in Sofia, sq.
